End User License Agreement

This is an agreement between you (the "end user" of this software) and On Top Systems, LLC ("Supplier"). By installing COMPASS ("the Software") on your computer, you acknowledge your acceptance of the terms and conditions of this License Agreement.

The Software is copyright © 2012-2025 On Top Systems, LLC On Top Systems, LLC. All rights reserved. Supplier reserves the right to modify the Software, and also the terms of this License Agreement at any time and without prior notification to end users.

You may use the Software only according to this License Agreement.

TRIAL PERIOD AND PURCHASE. The Software is initially provided as "trialware". It may be freely distributed to third parties provided all of the original components comprising the Software are included without modification and no charge or fee of any kind is made as a condition of such distribution.

The Software may be used without limitation at no charge for 60 days from the date of installation. After the conclusion of the 60 day trial period, the Software must be licensed via a subscription with Supplier for a fee. The Software will cease to function if a subscription is not established following the trial period. Upon subscription, a unique "license key" will be provided to you. This "license key" may not be divulged to any third party. Disclosing the "license key" to any third party shall result in the immediate termination of this License Agreement and forfeiture of all subscription fees.

You may not modify any part of the files that make up the Software. In particular, de-compilation and/or reverse engineering of binary components of the Software is expressly forbidden. Any such unauthorized use shall result in immediate and automatic termination of this License Agreement and may result in criminal or civil prosecution.

DESIGN AND PURPOSE. The Software has been carefully developed and is offered for use in good faith. All use of the Software is entirely at the user's risk. The Software and Documentation are provided "as is". Supplier makes no warranty, express or implied, including but not limited to any warranty of merchantability, non-infringement, or fitness for any particular purpose.

Reports of program errors ("bugs") may be submitted as described in the Software's help file. As time permits, Supplier, in its sole discretion, may issue updates to the Software to address such errors, but is under no obligation to do so.

CANCELLATION OF SUBSCRIPTION. You have the option of canceling your current subscription at any time. Upon cancellation, the Software will remain fully operational until the current subscription period's expiration date. There are no refunds of subscription fees upon subscription cancellation

LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall Supplier or its affiliated suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of profits, lost savings, loss of use, business interruption, loss of information or data, damage to equipment, fines or loss of broadcast license, or other pecuniary loss) arising out of the use or inability to use the Software, even if Supplier or its associates have been advised of the possibility of such damages. Supplier and its associates' liability for any direct damages actually proven in connection with the Software or its use, from any cause whatsoever and regardless of the form of legal action, shall not in any event exceed the actual amount paid by you for the Software for the current licensing period. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation might not apply to you.

U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and Documentation are provided with RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is subject to restrictions as set forth in sub paragraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or sub paragraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52-227-19, as applicable.

SEVERABILITY. If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

ENTIRE AGREEMENT AND GOVERNING LAW. This License Agreement constitutes the entire understanding and agreement between you and Supplier with respect to the Software and Documentation. Any representations or promises made by dealers and distributors of Supplier which differ from the terms of this Agreement do not constitute warranties of Supplier, do not bind Supplier, and should not be relied upon. This License Agreement is governed by and construed in accordance with the laws of the State of Florida, U.S.A. The federal and state courts located in Osceola County, Florida, have exclusive jurisdiction over any disputes arising from or relating to this agreement, and each party consents to such jurisdiction and venue.
